1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Neura Parse ("Company," "we," "us," or "our") governing your access to and use of our website, products, and services, including but not limited to:

• NowFlow: Voice-driven agentic workflow automation platform
• NeuralOS: Embedded real-time operating system for robotics and edge AI
• QMANN: Quantum memory-augmented neural network research platform
• Website: neuraparse.com and all associated subdomains

By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.

2. Eligibility

You must meet the following requirements to use our services:

• Be at least 18 years of age (or the age of majority in your jurisdiction)
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using our services under applicable laws
• Provide accurate and complete registration information

By using our services, you represent and warrant that you meet these eligibility requirements.

3. Account Registration and Security

3.1 Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your password and account
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

3.2 Account Termination

We reserve the right to suspend or terminate your account if:

• You violate these Terms or our Acceptable Use Policy
• You provide false or misleading information
• Your account is inactive for more than 12 months
• We are required to do so by law
• We discontinue the service

4. Services and Subscriptions

4.1 Service Tiers

We offer various service tiers with different features and pricing:

• Free Tier: Limited features for evaluation purposes
• Professional Tier: Full features for individual users and small teams
• Enterprise Tier: Advanced features, dedicated support, and custom solutions

4.2 Subscription and Billing

• Billing Cycle: Monthly or annual (as selected)
• Auto-Renewal: Subscriptions automatically renew unless cancelled
• Payment Methods: Credit card, PayPal, wire transfer (Enterprise only)
• Price Changes: We will notify you 30 days before any price increase
• Taxes: Prices exclude applicable taxes (VAT, sales tax, etc.)

4.3 Cancellation and Refunds

• Cancellation: You may cancel at any time; service continues until end of billing period
• Refunds: 30-day money-back guarantee for first-time subscribers
• No Partial Refunds: No refunds for partial months or unused features
• Enterprise Contracts: Subject to separate refund terms

5. Acceptable Use Policy

You agree NOT to use our services to:

• Violate any laws, regulations, or third-party rights
• Transmit malware, viruses, or harmful code
• Engage in unauthorized access or hacking
• Interfere with or disrupt our services or servers
• Scrape, crawl, or harvest data without permission
• Impersonate others or misrepresent your affiliation
• Transmit spam, phishing, or unsolicited communications
• Engage in fraudulent or deceptive practices
• Use our services for illegal surveillance or monitoring
• Reverse engineer, decompile, or disassemble our software

6. Intellectual Property Rights

6.1 Our IP

All content, features, and functionality of our services, including but not limited to software, text, graphics, logos, icons, images, audio, video, and data compilations, are owned by Neura Parse and protected by copyright, trademark, patent, and other intellectual property laws.

6.2 Your IP

You retain all rights to content you create using our services ("User Content"). By using our services, you grant us a limited, worldwide, non-exclusive, royalty-free license to:

• Host, store, and process your User Content
• Display your User Content back to you
• Use anonymized, aggregated data for service improvement

6.3 AI Training

We may use anonymized, de-identified data to train and improve our AI models. You can opt-out of AI training in your account settings. Voice recordings are deleted immediately after transcription unless you opt-in to storage.

7. Warranties and Disclaimers

7.1 Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted or error-free service. We may suspend service for maintenance, updates, or emergencies.

7.2 Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• Our services will meet your specific requirements
• Our services will be uninterrupted, timely, secure, or error-free
• Results obtained from our services will be accurate or reliable
• Any errors in our software will be corrected

7.3 AI and Voice Recognition Accuracy

NowFlow's voice recognition and AI agents are not 100% accurate. You are responsible for verifying all AI-generated outputs before relying on them for critical decisions.

7.4 NeuralOS Safety-Critical Use

While NeuralOS is designed for real-time systems, you are solely responsible for safety-critical implementations. We recommend redundant safety systems for life-critical applications.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEURA PARSE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR SERVICES.

Our total liability to you for all claims arising from your use of our services shall not exceed the greater of:

• The amount you paid us in the 12 months preceding the claim, or
• $100 USD

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless Neura Parse, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use or misuse of our services
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content
• Your violation of applicable laws or regulations

10. Data Protection and Privacy

Our collection and use of personal information is governed by our Privacy Policy. By using our services, you consent to our data practices as described in the Privacy Policy.

• You have rights to access, correct, and delete your data

11. Export Controls and Sanctions

Our services and software may be subject to export control laws and regulations. You agree to comply with all applicable export and import laws and regulations. You represent that you are not:

• Located in a country subject to U.S. or EU embargo
• Listed on any government prohibited or restricted party list
• Using our services for prohibited end-uses (e.g., weapons development)

12. Dispute Resolution

12.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@neuraparse.com to attempt to resolve the dispute informally.

12.2 Arbitration

Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA), except where prohibited by law.

12.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive your right to participate in class actions or class arbitrations.

12.4 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last Updated" date
• Sending an email notification (for significant changes)

Your continued use of our services after changes constitutes acceptance of the updated Terms. If you do not agree, you must stop using our services.

14. Termination

14.1 Termination by You

You may terminate your account at any time by contacting support or using the account deletion feature. Upon termination:

• Your access to services will cease at the end of your billing period
• Your data will be deleted within 90 days (unless legally required to retain)
• No refunds for unused portions of your subscription

14.2 Termination by Us

We may terminate or suspend your account immediately if you violate these Terms. Upon termination by us:

• Your access will be immediately revoked
• You may request a data export within 30 days
• Refunds are at our sole discretion

14.3 Survival

Sections 6 (Intellectual Property), 7 (Warranties), 8 (Limitation of Liability), 9 (Indemnification), and 12 (Dispute Resolution) shall survive termination.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and Neura Parse.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

15.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
